By clicking "Agree," creating an account, purchasing credits, or purchasing services, you ("Client," "you") enter into this binding agreement with Djamu LLC, doing business as Shanley AI, ("Provider," "we," "us"). Clicking Agree constitutes your electronic signature under the U.S. E-SIGN Act and applicable state law. If you act on behalf of a company, you confirm you have authority to bind it. You must be 18 or older.
This agreement has three parts: Part I — General Terms (applies to everything), Part II — The Apps (SHA3D.STUDIO and ShaTechPack.studio), and Part III — Done-For-You Services.
App outputs are AI-generated tools operated by you. Done-For-You Deliverables are prepared using AI-assisted workflows under Provider's direct professional supervision and review.
You retain ownership of designs, sketches, images, and information you upload ("Client Content"). You grant Provider a limited license to process Client Content solely to provide the services, including transmission to third-party AI model providers as necessary to generate outputs. You represent that Client Content is owned by you or properly licensed and does not infringe any third party's rights, and you will indemnify Provider against claims arising from Client Content.
Tech packs, sketches, and mockups are design and communication documents. Provider does not control factories, sourcing, sampling, or production. Provider makes no warranty regarding: manufacturing outcomes, sample or production quality, fit on real bodies, production costs or timelines, factory acceptance, or commercial success.
You are solely responsible for: fit testing and grading validation, regulatory and safety compliance for your products and markets (including labeling, flammability, and children's product rules where applicable), and final approval of all specifications before production. Always review outputs before sending anything to a factory.
Provider will keep your unreleased designs and supplied materials confidential, using them only to provide the services. This obligation survives for three (3) years after your last purchase. It does not apply to information that is public, independently known, or legally required to be disclosed.
Use of the services is also governed by our Privacy Policy, which describes what data we collect and how we handle it — including that your uploads and generated outputs are processed transiently and are not stored on our servers.
Except as expressly stated, all services, apps, and Deliverables are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Provider's total aggregate liability is limited to the amounts you actually paid in the three (3) months preceding the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages, including lost profits, even if advised of the possibility. Nothing in this section limits liability that cannot be limited by law.
You may stop using the services or cancel subscriptions at any time. Provider may suspend or terminate accounts that breach this agreement, abuse the services, or initiate chargebacks while retaining outputs or Deliverables. If Provider discontinues the apps or terminates your account without cause, unused purchased credits will be refunded pro-rata; credits forfeited for breach are not refunded.
You are responsible for your account credentials and all activity under your account. Provide accurate information and keep it current. One free-credit allocation per person or entity; duplicate accounts created to farm free credits may be closed and credits voided.
You will not: (a) upload or generate content that infringes others' IP or publicity rights; (b) use the apps for unlawful purposes; (c) reverse engineer, scrape, or programmatically access the apps except via interfaces we provide; (d) resell, sublicense, or white-label the apps or bulk outputs as a competing service; (e) circumvent credit accounting, watermarks, rate limits, or other technical limits. Violations may result in suspension and credit forfeiture under Section 7.
The apps are provided without uptime guarantees. We may modify, add, or remove features, and may substitute underlying AI model providers, with reasonable efforts to maintain comparable output quality. Material reductions in what your credits can do will apply prospectively only.

Each tech pack includes up to seven (7) pages covering, as applicable: cover/style summary, technical flat sketches, construction details, bill of materials, measurement specification, colorways, and packaging/labeling guidance. Fees are payable in advance at checkout. Price changes apply only to future purchases.
You will provide, in reasonable detail: design references or sketches, intended materials and trims, sizing intent, and brand requirements. Turnaround estimates (48 hours per style, confirmed at kickoff) begin only when Provider confirms receipt of complete materials. Timelines are good-faith estimates, not guarantees. Retainer clients receive priority scheduling.
Each tech pack includes two (2) rounds of revisions within the original style's scope. A revision round is one consolidated set of change requests. Not revisions (quoted separately as new work): change of garment category or silhouette, new colorway sets beyond the original brief, or a substantially new design. Additional rounds: $75 per round.
Renews automatically monthly until cancelled. Either party may cancel with thirty (30) days' written notice (email suffices). Unused styles do not roll over; the 12-style allocation resets each cycle. Overage styles ($250 each) are payable before delivery of the overage work.
Upon full payment, you own all right, title, and interest in the final Deliverables for that style. Provider retains all rights in pre-existing and underlying assets: tools, software, templates, prompts, workflows, methods, and know-how.
Portfolio use: Provider may display completed work in its portfolio and marketing only after your product is publicly released, unless you opt out by emailing hello@shanley.ai. Opt-outs are honored within 10 business days. Your confidential information is never included.
